Project scope, deliverables, timelines, and pricing are defined in individual project agreements or proposals, which supplement these terms.
3. Project Engagement
Projects begin upon receipt of signed agreement and initial payment. Project timelines are estimates and may be adjusted based on scope changes, client feedback delays, or unforeseen technical challenges.
Clients are responsible for providing timely feedback, necessary assets, content, and access to relevant systems. Delays caused by lack of client input may result in timeline extensions.
4. Payment Terms
Payment terms are specified in individual project agreements. Standard terms include 30% upfront, 40% at design approval, and 30% upon final delivery.
All payments are due within 7 days of invoice date unless otherwise agreed. Late payments may incur a 5% monthly fee and may result in project suspension.
Refunds are subject to our satisfaction guarantee policy and must be requested within the timeframe specified in your project agreement.
5. Intellectual Property
Upon full payment, clients receive full ownership of the final deliverables, including source code, design files, and documentation created specifically for their project.
Metro Web retains ownership of proprietary tools, frameworks, libraries, and methodologies used during development. We reserve the right to showcase completed projects in our portfolio unless otherwise agreed in writing.
Clients must ensure they have proper licenses for any third-party assets, stock images, fonts, or services used in their project.
6. Client Responsibilities
Clients must provide accurate information, timely feedback, and necessary access to systems and accounts required for project completion.
Clients are responsible for maintaining their own hosting, domain registration, SSL certificates, and third-party service subscriptions after project delivery.
Any content, images, or materials provided by clients must not infringe on third-party rights or violate applicable laws.
7. Warranties and Disclaimers
We warrant that services will be performed in a professional manner consistent with industry standards. However, we cannot guarantee specific business outcomes, traffic, rankings, or revenue results.
Our services are provided 'as is' without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.
We do not warrant that our services will be uninterrupted, error-free, or completely secure, though we implement industry-standard security practices.
8. Limitation of Liability
To the maximum extent permitted by law, Metro Web shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption.
Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question.
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
9. Confidentiality
We will maintain confidentiality of client information and project details. Non-disclosure agreements (NDAs) are available upon request for sensitive projects.
Clients agree to keep confidential any proprietary information, methodologies, or business processes disclosed by Metro Web during the engagement.
10. Termination
Either party may terminate a project agreement with 14 days written notice. Upon termination, client will pay for all work completed up to the termination date.
Metro Web reserves the right to terminate services immediately if client breaches payment terms, provides false information, or engages in abusive behavior toward our team.
Upon termination, client receives work completed to date, and Metro Web retains all payments made for work performed.
11. Third-Party Services
We may integrate third-party services (hosting, payment processors, APIs) into client projects. We are not responsible for the availability, functionality, or policies of these third-party services.
Clients are responsible for reviewing and accepting the terms of service of any third-party platforms we integrate.
12. Governing Law
These terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved through arbitration in Dubai, UAE.
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
